Item 1. Security and Issuer.

 

The title of the class of equity securities to which this statement relates  is common stock, $0.0005 par value (the “Common Stock”), of ARC Group Worldwide, Inc. (the “Issuer”), whose principal executive offices are located at 810 Flightline Blvd., Deland, FL 32724.

 

Item 2. Identity and Background.

 

This statement on Schedule 13D (the "Statement") is being filed by Arlan Clayton (referred to as the "Reporting Person") pursuant to Section 13(d) of the Securities Exchange Act of 1934, as amended (the "Act"), with respect to the Common Stock.

 

The principal business address and principal business or occupation of the Reporting Person is as follows:

  Arlan Clayton is a Director of Quadrant Metals Technologies, LLC (“QMT”) and serves as the President of Tekna Seal LLC, and a subsidiary of QMT.

 

During the past five years, Mr. Clayton has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) and has not been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

 

Mr. Arlan Clayton is a citizen of the United States.

 

Item 3. Source and Amount of Funds or Other Consideration.

 

The 806,046 shares of the Issuer’s Common Stock were acquired by the Reporting Person as part of the consideration for the Issuer’s acquisition of QMT by issuance of the Issuer’s Common Stock in exchange for all of the membership interests of QMT.

Item 4. Purpose of Transaction.

 

The 806,046 shares of the Issuer’s Common Stock were acquired by the Reporting Person as part of the consideration for the Issuer’s acquisition of QMT. The Reporting Person will continuously evaluate his ownership of Common Stock and the Issuer's business and industry. Depending on market conditions and other factors that the Reporting Person may deem material to his investment decision, including the availability of other investment opportunities, the Reporting Person may from time to time acquire additional shares of the Issuer’s Common Stock.

 

Without limitation of the foregoing (and consistent with his investment purpose), the Reporting Person will continue to consider alternative courses of action and will in the future take such actions with respect to his investment in the Issuer as he may deem appropriate in light of the circumstances existing from time to time.

 

Other than as described herein, the Reporting Person has no plans or proposals which would relate to or result in:

 

  (a) The acquisition by any person of additional securities of the Company, or the disposition of securities of the Company;
     
  (b) An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Company or any of its subsidiaries;
     
  (c) A sale or transfer of a material amount of assets of the Company or any of its subsidiaries;
     
  (d) Any change in the present board of directors or management of the Company, including any plans or proposals to change the number or terms of directors or to fill any existing vacancies on the board;
     
  (e) Any material change in the present capitalization or dividend policy of the Company;
     
  (f) Any other material change in the Company's business or corporate structure;
     
  (g) Changes in the Company's charter, by-laws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Company by any person;
     
  (h) Causing a class of securities of the Company to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association;
     
  (i) A class of equity securities of the Company becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Securities Exchange Act of 1934, as amended; or

Item 5. Interest in Securities of the Issuer.

 

(a) The Reporting Person may be deemed to beneficially own an aggregate of 806,046 shares of Common Stock as of August 8, 2012, which was approximately 14.2% of the outstanding Common Stock on such date (all computations of the percentage of Common Stock set forth herein are based on a total of 5,672,767 shares of Common Stock outstanding as of August 8, 2012 as reported in the Issuer's Definitive Proxy Statement, as filed with the Securities and Exchange Commission on July 16, 2012). As of August 8, 2012, the Reporting Person beneficially owns the following number of shares of Common Stock:
